CeWe Color: issue of preemptive shares

The issuer is solely responsible for the content of this announcement. ---------------------------------------------------------------------- CeWe Color: issue of preemptive shares Oldenburg, 2nd January 2007 - As they had already declared on 15 December 2006 and as had already been published in an ad hoc release on the same day, the joint heirs of company founder Senator h.c. Heinz Neumüller have exercised their share subscription warrant and have converted their atypical silent partnership interest in CeWe Color Holding AG (SDAX, ISIN DE 0005403901) into 1,980,000 shares. The move is to take effect on 31 December 2006. CeWe Color Holding AG, in accordance with resolutions passed at the Annual General Meetings of 16 June 1992, 17 June 1999 and 24 June 2004 and in fulfilment of this subscription warrant, holds authorised but unissued capital to the amount of EUR 5,200,000.00. As a result of the exercising of the subscription rights and the following issue of the 1,980,000 preemptive shares to convert the atypical silent partnership interest, the registered share capital of the company will be increased by EUR 5,148,000.00, from EUR 14,040,052.00 to EUR 19,188,052.00 as of 1 January 2007. The number of shares in the company will change accordingly to 7,380,000 bearer shares and 20 registered shares. The new shares will not be included in the dividend payout for the 2006 business year. Future earnings per share will remain undiluted despite the increase in the number of shares since the proportion of earnings to be paid relating to the atypical silent partnership interest will be cancelled as a result of the conversion.
