Heinz Neumüller has notified the Board of Management of CeWe Color Holding AG that they will be exercising their subscription right to convert their current atypical silent partnership interest into shares, to take effect on 31 December 2006. CeWe Color Holding AG (SDAX, ISIN DE0005403901), in accordance with resolutions passed at the Annual General Meetings of 16 June 1992, 17 June 1999 and 24 June 2004, holds authorised but unissued capital to the amount of EUR 5,200,000.00. The registered share capital of the company will be increased by EUR 5,148,000.00, from EUR 14,040,052.00 to EUR 19,188,052.00, through the exercising of the subscription rights to convert the atypical silent partnership interest. The number of shares in the company will change accordingly, by 1,980,000 shares, to 7,380,000 bearer shares and 20 registered shares. The new shares will not be included in the dividend payout for the 2006 business year. Future earnings per share will remain undiluted despite the increase in the number of shares since the proportion of earnings to be paid relating to the atypical silent partnership interest will be cancelled as a result of the conversion.
